This English version is provided for convenience. If the German and the English versions differ, the German version prevails.

General Terms and Conditions for Purchases of Shows & Stories

Version 7 of 7 November 2026

1. Provider, buyers, relationship to the Terms of Use

1.1 The provider and your contractual partner is Estellantica GmbH, Koberstr. 28, 88048 Friedrichshafen, Germany, represented by its managing director Nikolai Bader, registered in the commercial register of the Local Court (Amtsgericht) of Ulm under HRB 747642, VAT ID DE367710801 ("we"). You can reach us by email at konto@showsandstories.com or by telephone at +49 176 87922044. Please send complaints to the same email address or to our postal address.

1.2 These terms apply to the purchase of a monthly subscription or an annual pass for the Shows & Stories app.

1.3 We only sell to persons whose residence or registered office is in a member state of the European Union, in Norway, Iceland, Liechtenstein, Switzerland, the United States (the 50 states and the District of Columbia), Canada, Australia or New Zealand. Excluded are the Canary Islands, Ceuta, Melilla, Guadeloupe, Martinique, Réunion, French Guiana, Mayotte, Saint-Martin, the Åland Islands, Mount Athos, Livigno, Campione d'Italia, Büsingen am Hochrhein and Heligoland, as well as Greenland, the Faroe Islands, Saint-Barthélemy, Saint-Pierre-et-Miquelon, New Caledonia, French Polynesia and Wallis and Futuna, and Puerto Rico, the U.S. Virgin Islands, Guam, the Northern Mariana Islands, American Samoa and U.S. military and diplomatic addresses (APO, FPO, DPO), and the Canadian provinces of British Columbia, Manitoba, Quebec and Saskatchewan. We treat Monaco as France.

1.4 We treat every order as an order placed by a consumer, even if you order for a business: you have the same rights, in particular the right of withdrawal, and you pay the same price. We do not ask for a company name or a VAT identification number. If, as a business established in another EU member state, you give us your VAT identification number (by e-mail to konto@showsandstories.com), we issue an invoice without VAT and with a reverse-charge note for every billing period that starts and is paid after your notification; the price stays the same.

1.5 Our Terms of Use (https://api.showsandstories.com/nutzungsbedingungen) apply to every account. These terms additionally govern the purchase. If the two conflict, these terms prevail.

2. Service

2.1 For the term of your contract, we continuously provide Shows & Stories for your use: the app with all its features, including the synchronisation of your subscriptions and playback positions, as well as the other data listed in section 5.1 of the Terms of Use, between your devices. We activate access without undue delay after the contract is concluded; if your package starts later (sections 5.5 and 6.1), when it starts.

2.2 Without valid access, the app is locked except for export, account deletion and logging out. You have valid access during a paid period and during the trial (section 3); exceptions are governed by section 3.2.

2.3 Shows & Stories runs as a web app in the current version of common browsers, as an installable web app and as a desktop app for Windows. You need an internet connection to log in, to synchronise and to retrieve feeds and episodes.

2.4 Technical limits apply to synchronisation. They form part of the agreed characteristics:
a) maximum numbers per account and type of data, for example no more than 10,000 subscribed feeds;
b) the playback history is synchronised as a rolling window: once the maximum is reached, the oldest entries drop out;
c) size limits per record: a record that exceeds a limit is not synchronised;
d) if our server runs low on storage, synchronisation temporarily accepts no new data; whatever is stored on your devices stays there and is transferred at the next successful synchronisation.
The exact values are listed on the "Limits of the service" page (https://api.showsandstories.com/grenzen). As a precaution, we treat these limits as a deviation from what you can expect from comparable services: we point each of them out to you specifically before you order, and you agree to them expressly and separately with a separate tick box that is not pre-selected. You cannot order without this confirmation.

2.5 Throughout the term of your contract, we provide the updates that are necessary to keep Shows & Stories in conformity with the contract, including security updates. We inform you about every update in the app under "What's new".

2.6 The statutory warranty rights for digital products apply to Shows & Stories (section 10).

3. Trial and locking

3.1 Trial. Every account can use Shows & Stories free of charge for 7 days. The 7 days start when the account is created; for an account created before 1 November 2026, they start on 1 November 2026. You do not provide any payment details for this. The trial ends by itself, does not turn into a subscription or annual pass and costs nothing. Details are set out in section 3 of the Terms of Use.

3.2 Locking only after expiry. We do not lock your access during a paid period. The only exceptions are a withdrawal, a reversal of your payment (section 8.3), the end of the contract and restrictions under section 7 of the Terms of Use. Access ends with the end of the paid period; the app is then locked until a new paid period begins (section 2.2). Export, account deletion and logging out always remain possible (sections 13 and 14); only content blocked for illegality may be excluded from export (section 7.3 of the Terms of Use).

4. Conclusion of the contract and ordering process

4.1 You order on our order page, which you open from the app. The steps are:
1. You choose the package (monthly subscription or annual pass).
2. You enter your name, email address, country and postcode.
3. You choose the payment method.
4. An overview shows all details. There you confirm the limits of the service (section 2.4) and can request that we start providing the service before the withdrawal period ends.
5. By clicking "order with obligation to pay" (on the German page: "zahlungspflichtig bestellen") you place your order.
6. We forward you to our payment service provider for payment.
7. After successful payment, you receive the contract confirmation by email.

4.2 Until you click "order with obligation to pay" you can correct any detail on the overview via "Change" or cancel the order by closing the page.

4.3 By clicking "order with obligation to pay" you make a binding offer. We confirm receipt to you by email without undue delay; if your payment has already been confirmed by then, we do so in the contract confirmation. We accept the offer by sending you the contract confirmation after successful payment or by activating your access, whichever happens first. What matters is that your payment succeeds within 24 hours of your click: we then accept your offer without undue delay, even if the confirmation from our payment service provider reaches us only later. If your payment does not succeed within 24 hours of your click, your offer lapses and no contract is concluded; if you pay only after that, we refund the payment in full without undue delay.

4.4 We store the text of the contract. You receive it by email with the contract confirmation, together with these terms in the version that applies to you. You can retrieve it at any time via the link in the contract confirmation, including after the contract has ended, for as long as we keep the order (privacy policy).

4.5 German and English are available for concluding the contract. The German version prevails. We have not subscribed to any codes of conduct.

5. Monthly subscription

5.1 The monthly subscription runs for an indefinite period and is billed in billing months. The first billing month begins on the day the contract is concluded; that day counts. Each billing month lasts one month; its end is determined by section 188 (2) and (3) of the German Civil Code (BGB) (example: order on 6 October, first billing month up to and including 5 November). German time applies. The minimum term is one billing month.

5.2 The price is €9.00 per billing month, payable in advance: the first payment when you order, each further payment at the start of the billing month.

5.3 You can cancel the monthly subscription at any time. It then ends when the billing month in which we receive your cancellation expires; if you state a later date, it ends when the billing month in which that date falls expires. We do not charge anything after that. You can cancel in text form, for example by email, or via the cancellation button (section 16).

5.4 We can cancel the monthly subscription with at least one month's notice to the end of a billing month. You will receive our cancellation in text form.

5.5 If you order an annual pass while your monthly subscription is running, this order also cancels the monthly subscription to the end of the current billing month, on condition that the contract for the annual pass is concluded. The annual pass starts immediately afterwards. The order page shows you both dates before you click "order with obligation to pay". If you withdraw from the annual pass before your monthly subscription has ended, you can request that the monthly subscription continue unchanged; otherwise it ends as cancelled.

6. Annual pass

6.1 The annual pass has a fixed term of 12 months. It begins on the day the contract is concluded; if you order while a paid period is running, it begins on the day after that period ends. The first day counts. The start and end dates are shown on the order page and in the contract confirmation.

6.2 The annual pass ends automatically. It does not renew by itself, and you do not have to cancel it. You can only extend it by placing a new order.

6.3 Ordinary termination of the annual pass is excluded for both parties. This does not affect the right of withdrawal (section 15), termination for good cause (section 16.3), ending the contract because of a change or a defect (sections 10 and 11) or account deletion (section 14).

6.4 If you order a new annual pass before your current period ends, it is added with 12 months to the previous end date. This is only possible if the new end date is no more than 24 months after the day of your order, so you can prepay at most one follow-on pass. If this is not possible, the order page states the reason.

6.5 The price is €79.00 for the entire term, payable once when you order.

7. Prices and payment

7.1 All prices are final prices; there are no further costs. The order page and the receipt tell you whether and which VAT is included: as long as we are a small business within the meaning of Section 19 of the German VAT Act (UStG), we do not charge VAT to customers in Germany, nor to customers in the other EU member states unless the VAT of their country applies to them. For customers in Norway, Iceland, Liechtenstein, Switzerland, the United States, Canada, Australia and New Zealand no VAT is included, nor any Swiss VAT, U.S. state sales tax, Canadian GST/HST or Australian or New Zealand GST. The price is the same in every case.

7.2 You can pay with the payment methods we list for the chosen package at the start of the ordering process, for example credit or debit card, SEPA direct debit or PayPal. We charge no surcharge for any of them.

7.3 Payments are processed by Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands, as our payment service provider. We alone remain your contractual partner. For the payment we transmit the necessary data to Mollie; details are given in our privacy policy.

7.4 For SEPA direct debit, we notify you of every collection, with amount and date, by email in advance. We agree on a notice period of at least one day before the due date for this; as a rule, you will receive the notice three days in advance. We send you the creditor identifier and mandate reference by email.

7.5 You receive a receipt by email for every payment.

8. Failed payment, reversal

8.1 If a payment due for the monthly subscription fails (for example because a direct debit is returned for lack of funds), we send you a link by email to pay. You can make the payment within 14 days of the due date; the monthly subscription then continues unchanged. Until you pay, your access is locked from the due date (section 2.2).

8.2 If you do not pay by the end of these 14 days, the monthly subscription ends at the end of the last paid billing month without the need for a cancellation. We do not charge anything for the time after that.

8.3 If a payment that has already succeeded is reversed afterwards (for example after you object to a direct debit, or a chargeback of a card or PayPal payment), your access for the period paid with it is suspended and we send you a link to pay again. If you do not pay within 14 days of that email, the contract concerned ends; we do not claim the reversed amount.

8.4 If a direct debit is reversed under section 8.3 and you are responsible for this (for example because your account lacked funds or you objected to a justified direct debit), we charge you the costs that our payment service provider actually charges us for this returned debit, at most €14.50 per case; we provide evidence of them on request. The costs fall due together with the renewed payment and are stated with their amount on the link under section 8.3. If you do not pay again, the contract ends under section 8.3, and we claim neither the amount nor the costs. If you are not responsible for the returned debit, we charge nothing; nor do we charge anything for a late payment under section 8.1 or for the reversal of a card or PayPal payment. We do not charge any further reminder or handling costs. Export, account deletion and logging out remain possible in all cases.

9. Availability

We provide Shows & Stories with the availability that is usual for comparable services and that you can expect. We do not agree on any lower availability. We announce planned maintenance that interrupts synchronisation in advance.

10. Defects

10.1 If Shows & Stories is defective, you have the statutory rights under sections 327 et seq. BGB: you can demand subsequent performance, end the contract or reduce the price, and claim damages or reimbursement of futile expenses. If we fail to provide Shows & Stories, you also have the statutory rights.

10.2 These terms do not restrict these rights; the statutory limitation periods apply. Only the extent of damages is governed by section 12.

10.3 The easiest way to report a defect is by email to konto@showsandstories.com. You can also declare termination because of a defect via the cancellation button (section 16). What we refund in that case is set out in section 11.5.

11. Changes

11.1 We carry out updates that are necessary to keep Shows & Stories in conformity with the contract (section 2.5) as a matter of course.

11.2 Beyond that, we only change Shows & Stories for one of the following reasons:
a) adaptation to changes in legislation, to court decisions or to orders of public authorities;
b) protection of the security of the service and of our users' data, prevention of misuse;
c) adaptation to technical changes in operating systems, browsers, podcast and feed formats or in third-party services used by the app, or to their discontinuation;
d) maintaining the stability and performance of the service for all users, for example as the number of users or the amount of data grows;
e) adding new features and improving existing features, their operation and presentation; no existing feature is removed for this reason.
A change does not cause you any additional costs.

11.3 We inform you clearly and comprehensibly about every change in the app under "What's new". If a change impairs your access to or use of Shows & Stories more than insignificantly, we additionally inform you by email at least 30 days before the change about its characteristics, its timing and your rights under section 11.4.

11.4 In the event of such an impairing change, you can end the contract free of charge within 30 days. The period begins when you receive our email; if the change only takes place afterwards, it begins with the change. This right does not exist if the impairment is only insignificant or if the unchanged version remains available to you without additional costs. Termination is not subject to any form; you can declare it, for example, via the cancellation button ("termination because of a change to the app") or by email.

11.5 If you end the contract because of a change, because of a defect or because we fail to provide Shows & Stories, the price for the time after the end of the contract no longer applies. We refund it on a daily basis: for the annual pass €79.00 × remaining days ÷ 365, for the monthly subscription €9.00 × remaining days of the billing month ÷ days of that billing month, in each case no more than the amount paid. If you end the contract because of a defect, we additionally refund the price for the part of the paid period during which Shows & Stories was defective. If you reduce the price, we refund the amount overpaid. We refund without undue delay, at the latest 14 days after receiving your declaration, using the payment method you paid with and at no cost to you. If a refund via that payment method is no longer possible, we transfer the amount, with your consent, to an account you specify. Details are on https://api.showsandstories.com/erstattung.

11.6 Prices. We do not change the price of an annual pass. For the monthly subscription, we may offer you a price change for future billing months. It only applies if you expressly agree to it on the page linked in our notice by clicking the button "Agree with obligation to pay" (on the German page: "zahlungspflichtig zustimmen"). Opening the page, silence or continued use do not count as consent. If you decline or do not respond, your monthly subscription continues at the previous price. Our right of termination under section 5.4 remains unaffected; we point this out in the notice.

11.7 These terms. For a running monthly subscription, an amended version of these terms only applies if you expressly agree to it in the same way; otherwise the previous version continues to apply. For an annual pass, the version that applied when you ordered governs its entire term.

12. Liability

12.1 We are liable without limitation (a) for damage resulting from injury to life, body or health caused by a negligent breach of duty by us or by an intentional or negligent breach of duty by our legal representatives or vicarious agents; (b) for other damage caused by an intentional or grossly negligent breach of duty by us or by our legal representatives or vicarious agents; (c) under the German Product Liability Act (Produkthaftungsgesetz); (d) for fraudulently concealed defects and to the extent that we have given a guarantee.

12.2 In all other respects we are liable for damage caused by slight negligence only if we breach an essential obligation. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case our liability is limited to the damage that is typical for the contract and foreseeable when the contract was concluded. Any further liability is excluded.

12.3 This section applies to claims for damages, including the personal liability of our employees, legal representatives and vicarious agents. All other rights in respect of defects (section 10) remain unaffected.

12.4 If you live in Australia or New Zealand, sections 12.2 and 12.3 apply only to the extent permitted by the Australian Consumer Law or the Consumer Guarantees Act 1993 and the Fair Trading Act 1986; nothing in these terms excludes or limits your rights under the consumer guarantees of those laws. For Australia, the following statutory notice applies: Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

13. Data export

You can export your data in the app at any time: free of charge, without hindrance and in a commonly used, machine-readable format (JSON). This also applies without valid access and after your contract has ended, as long as your account exists. On request, we also make your content available to you within a reasonable period after the contract has ended.

14. Account deletion

14.1 You can delete your account in the app at any time. Deletion ends the provision of the service: a running monthly subscription ends at the end of the paid billing month, an annual pass with the deletion. After deletion we do not charge anything further.

14.2 We do not refund amounts already paid merely because you delete your account. This does not affect your right of withdrawal (section 15), which you can still exercise after deletion, or your rights under sections 10, 11 and 16.3 to the extent they arose before deletion. Before deletion, we point out a running annual pass and, while the withdrawal period is running, the option to withdraw from the contract.

15. Withdrawal

You have a right of withdrawal, even if you order for a business (section 1.4). If you live in Switzerland, the United States, Canada, Australia or New Zealand, where the law provides no such right of withdrawal for these contracts, we grant you this right of withdrawal by contract, with the same conditions, time limits and ways. Conditions, time limits and procedure are set out in the instructions on withdrawal (https://api.showsandstories.com/widerrufsbelehrung), which also contain the model withdrawal form. You can withdraw via the "Withdraw from contract here" button (on the German page: "Vertrag widerrufen"; https://api.showsandstories.com/widerrufen, no login required, also in the app), by email to konto@showsandstories.com or by any other unequivocal statement.

16. Cancellation and other declarations

16.1 You can cancel via the "Cancel contracts here" button (on the German page: "Verträge hier kündigen"; https://api.showsandstories.com/kuendigen, no login required; the button is also in the app and on each of our pages), by email to konto@showsandstories.com or in any other text form. You can declare withdrawal (section 15), price reduction and termination because of a defect, because of a change or because we fail to provide Shows & Stories (sections 10 and 11) without any form.

16.2 Cancellation and withdrawal by email to konto@showsandstories.com are always effective, even if our pages are currently unavailable.

16.3 The right of both parties to terminate for good cause without notice (section 314 BGB) remains unaffected. If a contract ends in this way before the end of the paid period, we refund the price for the time thereafter on a daily basis under section 11.5. Claims for damages remain unaffected.

17. Dispute resolution

17.1 We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.

17.2 If we cannot settle a dispute with you, we will tell you in text form which consumer arbitration board is competent for you, with its address and website, and whether we will take part in proceedings there.

18. Applicable law, place of jurisdiction

18.1 Contracts under these terms are governed by the law of the Federal Republic of Germany. If your habitual residence is in another country, you retain the protection of the mandatory provisions of that country that cannot be derogated from by agreement. If you live in the United States, this includes the mandatory law of your state; if you live in Canada, that of your province or territory; if you live in Australia, the consumer guarantees of the Australian Consumer Law (section 67 ACL); if you live in New Zealand, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. If your habitual residence is in Switzerland, this choice of law applies only insofar as Swiss law permits it (Art. 120(2) of the Swiss Private International Law Act).

18.2 We do not agree on a place of jurisdiction; the statutory provisions apply.

19. Content, restrictions, moderation

Sections 5 to 9 of the Terms of Use govern which content synchronisation stores, when and how we restrict content or accounts, how you report illegal content and how you can challenge a decision.

20. Version

Version 7 of 7 November 2026. Your contract is governed by the version that applied when you ordered; it is attached to your contract confirmation. If you have agreed to an amended version for your monthly subscription (section 11.7), that version applies from then on.
